Every one of my freinds with sound problems said that this fixed their problems, as well. My sound starts getting 'tinny' and distant sometimes. VC will remake the file as soon as you open the window again. Note: You can alt+tab the game to do this. In your GTA Vice City User Files folder (I think it is always in 'My Documents') there will be a file called gta_vc.set. I would like to now present the solution to about 80% of VC sound related problems. I haven't had any compatibility problems so far.
I had an old Audigy card, and I didn't want to throw it back in, but I eventually figured it was worth it for a 10% performance gain, especially when people go to a significant amount of work overclocking their machines for maybe only a 20% gain.

It sounds like you have the same RealTek ALC655 sound chipset on that motherboard that I do, and it's one of the worst ones as far as CPU usage goes. You might want to try throwing the Audigy in anyway. I tried all of the available sound settings, and all of the available hardware acceleration settings in the control panel, but nothing helped. I had problems with the sound, but not the ones you describe- crackling and popping in the voice tracks, and cutscenes fading out before the person was done talking. I have virtually the same system as you, except for the amount of RAM and HD size. Sound problems seem to be common with this game.
